Doc, all of this is a trip down memory lane as I have a lot of old notes on the subject matter...audited financials, fully reporting etc.   The koolaid suggest we are close to a JVA.  Of course that koolaid has been very wrong as I was reading lots and lots of emails from the 05/06 era when we thought the same.  But assuming we are there a within a week or so of a JVA, that would suggest the company is preparing for something 6 months down the road....if they just started the process and wanted to time audited financials, and EDGAR filings, and a "institutional" friendly image then the JVA could be months and months down the road possibly into next year.  Since the koolaid suggest we are there, then the company must be preparing for drill results and confirmation, and a just in case the major cant afford to take us out...LOL!!!  This thing is not going to $40 overnight.

HAND the partner could have asked that they do all this as a part of the deal clauses??
lets hope not I cant wait another 6 months to see a JVA....Juan and Les are getting wayyyyyyyyyyyyy to old!.

OMG can we just get a F@#@#n deal before we even talk about getting bought out buy backs and all the other BS??  PLEASE guyys we have not even closed this deal which was supposedly going to close last month.  Im not bitching by lets keep the pressure on disclosure of WTF is going and where are we with the deal?

George, I would have thought that after two years of having to play super daddy for two rambunctious boys you would have learned how to do two things at once.  Guess not.

Most of us here are now totally convinced that the JV is a certainty.  Therefore, we have moved on to the next items on the list.  If you are still struggling with the question of whether or not the JV is real, then grab a glass of KoolAid (that always helps), then come join in.

RICH no one is saying if its for real or not but GUESS what I still have not seen it.  I would just like to move on with my life.

Management has to march down the road while assuming that there will be no tender offer.  The contract may give the JV partner a first right of refusal to match any outside offer.  If so any outside parties wanting a piece of the action would be directed to buying the securities of Medinah to indirectly get exposure.  Looking at the ages of management and the grueling nature of this ordeal and what's going on in the mining sector I think that we are going to get taken out quickly upon good drilling results.  There has been way too much interest in this property for this not to happen IMHO.  Part of the delays have been associated with JJ ferrying teams of geologists up to the mountain nonstop perhaps beause he likes to show off his "baby".  When you get down to the signing stage any truly interested party that has been "laying low" would have to make their move because their NDAs would evaporate.

I was looking at a note the other day and I have missplace it again, it talk of some of the companies that owened some of CDCH and Medinah Chile...Last Frontier were part of that group and those along with MDMN owned some of CDCH with Juan having 50% of CDCH.  My point is some of that "indirect" exposure is also via NPER.

With all this talk about a "buyout", I have a question...

Why would the JV partners, or anyone else for that matter, buy MDMN and CDCH just to get the percentage of the JVA that we retain?  Isn't that a little like buying the whole farm just to get the goose that lays the golden eggs (pun intended)?


In the case of Medinah I would think the "buyout" would be structured as the sale of a principal asset.  You sell the ownership % of Lipangue, take the cash or shares and distribute them out as an extraordinary dividend. This would leave the Medinah corporate structure with Polo and Pumillahue.  The cash dividend would have to matched by the shorts and the naked short position would be retained in the corporate shell for those that refuse to cover before the dividend record date.  Thus you get the best of both worlds.  For "qualifying dividends" in order to get the preferential tax teatment you still have to worry about the 60-day rule.  Getting the Edgar approval also allows you to put out 8-K releases which look a lot more professional than mere PRs and web postings.  Institutional investors are used to going to EDGAR and reading 8-K "current reports" in series to get a better picture of the history.  I'm not sure if there is any expense to filing 8-Ks or not over and above any annual fees.

...NO , I actually filled out the form in 5 minutes online....once you fax the SEC a notarized authenticity you get a CIK and file all your forms online...
